We are looking for an experienced, highly motivated Corporate Paralegal to join our global legal team. You will partner with our in-house corporate team on a broad range of matters relating to public company processes, securities law compliance, corporate transactions, general corporate projects, and contracting matters, as well as create and support legal processes and efficiencies. In addition, this role involves a meaningful amount of time working with our EMEA team on a wide variety of projects, including contract management and general corporate support. You will be part of the global legal team, but will also be interacting directly with management and key internal stakeholders. The position reports to the Director, Corporate Counsel based in our Boston, MA office.

What you'll do

Assist the Director, Corporate Counsel with on-going public company matters, including proxy statement, annual meeting, annual and quarterly filings, Form 8-Ks, and director and officer questionnaires

Track insider trading policy pre-clearance and 10b5-1 plan activity as well as reports of beneficial ownership for officers and directors on Forms 3, 4 and 5

  • Assist with the preparation of appropriate draft documents, including agendas, corporate resolutions and meeting minutes for board of director and committee meetings
  • Maintain the company's corporate records and manage all US business filings and foreign corporate filings, including coordination with the company's tax and finance departments
  • Support the Director, Corporate Counsel in corporate transactions and assist with due diligence efforts and follow-on compliance and integration as needed
  • Provide support on corporate contracts, including NDAs, as needed
  • Support the EMEA legal team on contract execution and approvals
  • Support the EMEA legal team on project tasks from time to time, including general corporate support and system and process implementations and improvements
  • Respond to subpoenas and other document requests

Skills you'll need

  • 5+ years experience in a similar role for an in-house legal team or law firm, focusing on public company governance and securities law compliance matters
  • Minimum of Bachelor's Degree or equivalent experience. Paralegal Degree preferred

Notary Public preferred

  • Attention to detail and the ability to prioritize
  • Hands-on approach and strong business sense
  • Must be an independent and strategic thinker who is a strong team player (no job is too small or too large) and willing to take on additional responsibilities
  • Experience working with cloud based software solutions, including document management systems
  • Excellent computer skills with Microsoft Office suite of programs: MS Word, Excel, and PowerPoint, including experience creating spreadsheets, presentations and report
