At ServiceTitan we are on a mission to be the Operating System of the Trades. ServiceTitan is looking for a highly motivated attorney to serve as Deputy General Counsel. This position will work closely with our General Counsel, Executives and various department leaders on corporate governance, securities, SEC reporting, M&A and strategic investments. The role will report directly to the General Counsel. This is a unique opportunity to lead a global team of experienced professionals, and work on novel issues in an exciting, fast-paced environment.

What You'll Do:

  • Lead all areas related to the company's securities law matters and related compliance
  • Oversee and assist with transactional matters, including M&A and strategic investments
  • Prepare, review and manage SEC filings, including periodic and annual report, proxy materials and Section 16 filings, and stock exchange compliance
  • Provide legal oversight of quarterly earnings and investor relations related disclosures
  • Oversee the preparation, filing and distribution of the annual proxy statement and the handling of the annual stockholders meeting
  • Support the corporate secretary function by assisting with board and committee activities including coordinating, preparing and distributing board/committee materials, meeting agendas, notifications, minutes and governance matters
  • Design and implement policies, procedures and controls
  • Required for corporate legal compliance, including corporate

Governance programs

  • Manage and administer the code of conduct, corporate
  • Governance guidelines, insider trading policy, 10b5-1 trading
  • Policy, director conflict of interest policy, investor
  • Communication policy, and other relevant corporate policies,
  • Including coordination of education and training
  • Advising on insider trading compliance including Section 16

And 10b5-1 trading plans

  • Advise management and directors regarding conflict of
  • Interest, related party transaction, executive and director
  • Compensation, director independence and eligibility, and other matters
  • Overseeing and managing domestic and international

Subsidiaries

Oversee administration of equity programs, including equity

Grants and equity award policy

Assist where needed on other legal matters and manage other legal functions from time to time, as appropriate

What You'll Bring:

  • 12+ years of total legal experience at a top tier law firm and in-house legal department
  • Broad corporate legal experience leading teams managing corporate governance, securities law compliance, and M&A matters
  • Experience taking a company through IPO.
  • J.D. (or foreign equivalent) with membership in at least one U.S. state bar and qualified to practice in-house in California
  • Experience advising public company board of directors and senior executives regarding governance and securities issues
  • Proven track record of providing thoughtful, outside-the-box legal and strategic guidance to an executive team
  • Experience forging relationships and advising leaders and key stakeholders across large-scale, global companies
  • Experience successfully working in a highly collaborative manner across a variety of business functions and geographies
  • Proven record of developing, managing, motivating, and leading a diverse, high-performing team
  • Proven attention to detail with organizational skills
