About the role

Robinhood is looking to hire an experienced attorney to lead our Corporate Legal team. This role will report to Robinhood's Deputy General Counsel of Corporate Legal Affairs, Commercial and Privacy and Corporate Secretary. We are looking for an inspiring leader and one who is highly adaptable and collaborative. Your day-to-day will involve:

  • Building, leading and scaling the Corporate Legal function as we continue to establish and evolve our public company policies, practices and processes.
  • Advising on and overseeing preparation of 10-Ks, 10-Q, 8-Ks, proxy statements, registration statements and Section 16 filings
  • Supporting Robinhood's Investor Relations, Communications, and External Reporting teams on quarterly earnings releases, Reg FD compliance and public disclosures
  • Advising on and administering certain corporate and executive policies and programs, such as the insider trading policy and employee trading and 10b5-1 plans
  • Planning and overseeing Robinhood's annual stockholders' meeting, including preparing agenda, scripts, and related materials
  • Supporting corporate governance matters, including preparation of materials for Board and Committee meetings, onboarding of new directors, the director compensation program, and related activities
  • Leading global corporate administration efforts, including compliance with relevant international, federal, state and regulatory laws, maintaining foreign and domestic subsidiaries, and supporting international expansion
  • Advising on and overseeing all legal aspects of corporate transactional matters, including M&A, investments, credit facilities, equity and debt offerings and other corporate finance transactions
  • Counseling on a range of related corporate matters such as executive compensation, equity plans, stock administration and related policies
  • Collaborating with Regulatory and Product Legal team members to support brokerage, crypto, cash management, and investor communications products and operations as needed
  • Collaborating cross-functionally with Finance, Investor Relations, Corporate Development, HR and Compensation, Communications, Treasury, Capital Markets, Tax, Stock Administration, ESG, senior leadership and other members of the Robinhood team
  • Leading, scaling and developing a team of attorneys and paralegals
  • Partnering with outside counsel with an eye toward driving business goals and providing world class counseling, while effectively managing time and cost

About you:

  • J.D. degree from an ABA accredited law school (or foreign equivalent)
  • Membership in at least 1 U.S. State Bar, with good standing
  • 12+ years of corporate law experience, with particular focus on corporate transactions, securities law compliance and corporate governance
  • Experience building and leading world-class legal teams, with substantial experience supervising other lawyers and paralegals
  • Substantial in-house experience at a publicly-traded company, with relevant prior experience from a top law firm
  • Comfort working in a dynamic, rapidly changing environment
  • Extraordinary interpersonal and communication skills; phenomenal ability to communicate information effectively internally and externally and to drive cross-functional alignment and action
  • Execution-oriented mindset with the humility, drive, and scrappiness to get things done

Bonus points:

  • Experience with global technology and/or financial services companies
  • Experience with newly listed public companies
  • Membership in the California State Bar
